A New Corporate Structure
OpenAI announced that it has completed a major recapitalization, simplifying its corporate structure. The company's for-profit business, established in 2019, is now a public benefit corporation named OpenAI Group PBC. This move formally aligns the company's mission and its commercial success under a single governance framework.
The restructuring was completed after dialogue with the attorneys general of California and Delaware. The nonprofit OpenAI Foundation remains in control of the for-profit entity, which has an equity value of approximately $130 billion, according to the company.
